Terms and Conditions Policy
Waldenwoods Resort – Terms of Service
PLEASE READ THIS ENTIRE AGREEMENT CAREFULLY. It sets forth the legally binding terms and conditions for your access to and use of the Waldenwoods Resort Platform (defined below).
THESE TERMS REQUIRE ARBITRATION OF DISPUTES ON AN INDIVIDUAL BASIS ONLY. By using the Platform and entering into these Terms, you waive the right to bring claims in court, to have disputes heard by a judge or jury, or to participate in any class action.
YOUR MEMBERSHIP IS SUBJECT TO AUTO-RENEWAL, LIMITATIONS OF LIABILITY, AND INDEMNITY OBLIGATIONS as detailed below.
1. Introduction & Agreement
These Terms of Service (“Terms”) govern your (whether an individual, company, or organization – collectively “you”, “your”, or “Member”) purchase, access, and use of:
- The Waldenwoods Resort website (www.waldenwoods.com, including mobile versions) (“Site”);
- Any online booking, reservation, membership, or event-registration portals;
- The member dashboard, mobile alerts, SMS/MMS messaging, email newsletters, and any related software or communication platforms (collectively, the “Platform”); and
- All services provided through the Site or Platform, including resort reservations, membership programs, event ticketing, and text/email marketing communications (collectively, the “Services”).
The Platform and Services are owned and operated by Waldenwoods Family Recreation Resort, LLC (“Waldenwoods”, “we”, “our”, or “us”).
By accessing the Site, using the Platform, or purchasing any Service, you agree to be legally bound by these Terms and any applicable Additional Terms (defined below). Continued use after any update constitutes acceptance of the revised Terms.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and authorized to bind any entity on whose behalf you act. Minors may only use the Platform under adult supervision and with parental consent.
3. Membership & Subscriptions
A. Membership Types & Pricing
- Day-Pass, Seasonal, or Annual Memberships are available as described on the Site.
- Prices (including taxes, resort fees, or surcharges) are shown at checkout.
- We accept credit/debit cards and other methods listed at purchase.
B. Auto-Renewal
YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW at the end of each term (monthly, seasonal, or annual) at the then-current rate unless you cancel before renewal. You authorize us to charge your payment method on file.
C. Cancellation & Refunds
- Cancel anytime via your Member Dashboard or by emailing sales@waldenwoods.com.
- No refunds for partial terms except where required by law or at our sole discretion.
- Upon cancellation, access ends at the close of the current term; data may be deleted after 30 days.
D. Free Trials / Promotions
Trial or discounted offers convert to paid auto-renewing memberships unless canceled before the trial ends. We may require a valid credit card to prevent abuse.
4. Reservations & Payments
- Reservations are confirmed only upon payment and email receipt.
- Cancellations: Subject to posted policy (typically 48–72 hours notice; fees may apply).
- No-Shows / Late Arrivals: May forfeit deposit or full payment.
- We use encrypted HTTPS and trusted processors (e.g., Stripe) for payments. We do not store full card numbers.
5. Member Conduct & Platform Use
You agree NOT to:
- Use the Platform for unlawful, fraudulent, or harmful purposes;
- Harass, threaten, or defame others;
- Impersonate any person or entity;
- Interfere with Platform operation (e.g., hacking, DDoS, malware);
- Scrape, spider, or automate data collection without permission;
- Resell, sublicense, or commercially exploit access;
- Violate resort rules, local laws, or third-party rights;
- Transmit spam, unsolicited messages, or viruses.
We may suspend or terminate your access immediately for violations, without refund.
6. Text Messaging (SMS/MMS), Email & Promotional Communications
A. Consent Required
You may opt in to receive SMS/MMS alerts (e.g., reservation confirmations, event reminders, promotions) only if you expressly consent (e.g., by checking a box or texting a keyword).
B. Webform Submissions
By submitting your contact information (name, phone, email, etc.) through any webform on the Site, you expressly consent to be contacted by our Promotions Department via phone, email, or text message regarding special offers, events, membership opportunities, or resort updates. These communications may include marketing content and are sent only to individuals who have provided affirmative consent via the form.
C. Opt-Out
- Reply STOP to any SMS to unsubscribe from text messages.
- Click unsubscribe in emails.
- Or contact sales@waldenwoods.com to be removed from all promotional contact lists.
D. Your Responsibility
- You control message content and timing via the dashboard (if applicable).
- You alone are responsible for obtaining consent, complying with TCPA, CTIA, MMA guidelines, and all anti-spam laws.
- We do not draft, send, or automate messages on your behalf unless you are an authorized staff user.
E. No Spam / Prohibited Content
You may not send:
- Unsolicited messages;
- Illegal, deceptive, or harmful content;
- Messages to minors without parental consent;
- Content promoting alcohol, tobacco, firearms, gambling, or adult material.
We may block, suspend, or terminate accounts sending prohibited messages.
7. Intellectual Property
- The Waldenwoods name, logo, Site design, and all content are owned by us or our licensors.
- You are granted a limited, revocable, non-transferable license to use the Platform for personal, non-commercial purposes only.
- No resale, modification, or derivative works without written consent.
8. Privacy
Your data is governed by our Privacy Policy (incorporated by reference). We collect only voluntarily provided data (name, email, phone, payment info) to fulfill reservations, memberships, and communications.
9. Disclaimers
THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee:
- Uninterrupted access;
- Message delivery (carrier-dependent);
- Accuracy of third-party content;
- Safety from viruses or security breaches.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALDENWOODS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (including lost profits, data, or goodwill) EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Waldenwoods, its affiliates, officers, and employees from any claims, losses, or damages arising from:
- Your use of the Platform/Services;
- Your violation of these Terms;
- Your messages or content;
- Your breach of law (including TCPA violations).
12. Dispute Resolution – MANDATORY ARBITRATION
A. Informal Resolution First
Contact us at legal@waldenwoods.com with any dispute. We’ll try to resolve it within 60 days.
B. Binding Arbitration (Individual Only)
If unresolved, disputes must be resolved by binding arbitration under AAA Consumer Rules in Livingston County, Michigan.
- NO CLASS ACTIONS
- NO JURY TRIAL
- You waive rights to court or class proceedings.
C. Exceptions
Small claims court or injunctive relief for IP violations may be pursued in court.
D. 1-Year Limitation
Claims must be filed within 1 year of arising.
13. Governing Law
These Terms are governed by Michigan law, without regard to conflicts principles. Venue for court actions (if any) is Howell, Michigan.
14. Changes to Terms
We may update these Terms. Continued use after posting constitutes acceptance. We’ll email major changes to registered members.
15. Termination
We may suspend or terminate your access at any time for any reason, with or without notice. Upon termination:
- Access ends immediately;
- Unused fees are non-refundable;
- Your data may be deleted after 30 days.
16. Miscellaneous
- Entire Agreement: These Terms + Privacy Policy + any Additional Terms = full agreement.
- Severability: Invalid provisions don’t affect the rest.
- No Waiver: Failure to enforce a right isn’t a waiver.
- Assignment: We may assign; you may not.
- Force Majeure: Not liable for delays beyond control (weather, strikes, etc.).
